Coach Agreement

This Coach Agreement (“Agreement”) governs your participation in the Turbovine Coach Programme (the “Programme”), operated by Turbovine Inc. (“Turbovine”, “we”, “us”, or “our”). It applies in addition to our general Terms & Conditions and Privacy Policy. By activating a coach account, you confirm you have read and agree to this Agreement.

In short. We make short explanations of English phrases in your voice and likeness, using AI tools and recordings and photos you give us. They appear inside our episodes. You share Turbovine with your audience using your own link, and in your own posts. When somebody subscribes through that link, you earn 40% of what they pay for their first year. You keep control of how you appear: nothing goes live until you approve that exact version.

1. What the Programme is

Turbovine publishes a story series for English learners. Inside an episode, a learner can tap a phrase and see a short explanation from a coach. We produce those explanations for you, in your voice and likeness, and you decide which of them are published. You promote Turbovine to your own audience in your own posts, and you may use material we provide. In return you earn a commission on subscriptions attributed to you, and you receive full access to the series while you are active.

2. Eligibility

You must be at least 18 years of age and able to enter into a binding agreement. You agree to provide accurate, current contact and payment information and to keep it up to date. We may decline, suspend, or end any coach’s participation at our discretion.

3. Your likeness, and your control over it

How explanations are made. You give us recordings of your voice, video, and photos of yourself (“Source Material”). Using artificial-intelligence tools, we use your Source Material to produce explanations in which you appear and speak (“Coach Explanations”). The script and examples are written by us. You do not need to record each explanation yourself.

What you allow us to do. You grant Turbovine a non-exclusive, worldwide, royalty-free licence to use your Source Material, name, voice, and likeness to produce Coach Explanations, and to edit, publish, and distribute the Coach Explanations you approve — as part of the series and in promotion of it, with your name attached.

What we will not do. We will use your Source Material and any AI model of your voice or likeness only to produce Coach Explanations for Turbovine. We will not sell or license them to anyone else, use them to train general-purpose AI models, or make you appear to say or endorse anything other than an explanation you have approved. We will not use your likeness in paid advertising unless you agree separately.

Nothing goes live until you approve it. We may combine a Coach Explanation with other footage, and you approve the finished version, not the raw material. You may reject any Coach Explanation, for any reason, without giving one. Your approval is recorded against that specific published file. If we later change that file in any way, your previous approval no longer applies to it and we will ask you again.

You may withdraw an approval at any time. We will stop publishing the withdrawn version as soon as we reasonably can. Withdrawal is not retroactive: it does not oblige us to recall copies already distributed by others, and it does not affect commission you have already earned.

Telling learners. We tell learners on our site that some Coach Explanations are produced with AI. You agree not to describe a Coach Explanation as something you recorded yourself if it was not.

You confirm that you have the right to grant this licence, and that your Source Material does not infringe anyone else’s rights.

4. What you earn

When a person subscribes to Turbovine and that subscription is attributed to you, you earn 40% of the amount they actually pay for their first year, before any deduction for payment-processing fees — those come out of our share, not yours. The current subscription price is shown on our join page.

First payment only. Commission is earned on a subscriber’s first payment. Renewals in later years do not earn further commission.

Commission is calculated on the amount actually received, excluding taxes, and is reversed in full if that payment is later refunded or charged back (see Section 6). The rate that applies to a subscription is the rate in force on the day it was paid, and it is fixed on that sale: if we change the rate in future, sales already made are unaffected.

5. How a subscription is attributed to you

You are given your own link. When somebody follows it, we store a small identifier in their browser, and if they later create an account that account is attributed to you.

First contact wins, and it lasts 400 days. If a person arrives through your link, wanders off, and comes back weeks later through somebody else’s, they remain attributed to you. The identifier is not overwritten once it is set.

We want you to understand the limits of this, because they are real. Attribution depends on the person’s browser. If they clear their browsing data, use private browsing, block cookies, or start on one device and sign up on another, the connection can be lost and no commission will arise — even though your post is what sent them. This is a limitation of how the web works and not something either of us can fully prevent. Our records of attribution are the record used to calculate commission.

6. When and how you are paid

Commission first appears in your dashboard as pending. It becomes confirmed 45 days after the payment, once the period in which a refund or chargeback is most likely has passed. Only confirmed commission is owed to you.

Confirmed commission is paid monthly, on the first business day of the month, to the PayPal address you give us. It is your responsibility to keep that address correct; for your security, a change to it takes effect only after you confirm it by email. We are not responsible for funds sent to an address you gave us in error.

If a subscription is refunded or charged back after the related commission has been paid to you, that amount is deducted from your next payment. If no further payment is due, you agree to repay it on request.

You can see every sign-up, its status, and every payment in your dashboard at any time, and download an invoice for each payment.

7. Your own access to the series

While you are an active coach, we give you full access to Turbovine — including episodes that have not yet been released publicly — at no charge, for your personal use. This access is so that you can watch and talk about what you are recommending. It ends when your participation ends, and you must not share it, or share unreleased material, with anyone else.

8. Material we give you to post

We make clips, images, and trailers available to you for promoting Turbovine. We grant you a limited, non-exclusive, non-transferable, revocable licence to use that material in your own content for that purpose. You may not sell it, sub-license it, redistribute the raw files, present it as your own work, or use it in a misleading, harmful, or disparaging way.

Some material is scheduled. Material for an upcoming episode is released to coaches shortly before that episode becomes free, so that coaches are talking about the same episode at the same time. Please do not publish material for an episode before it appears in your dashboard.

This licence ends when your participation ends, although you are not required to take down content you published in good faith while active.

9. Honest promotion and disclosure

You agree to promote Turbovine truthfully and to comply with all applicable advertising and consumer-protection laws and platform rules. Where required — including under U.S. FTC guidelines and equivalent rules elsewhere — you must clearly disclose that you have a paid or material connection to Turbovine when you share our content or your link.

You must not make false or exaggerated claims about the service, promise a particular level of fluency or a guaranteed outcome, misstate the price or what a subscription includes, or suggest that content is free when it is not. You must not use spam, bid on our brand or trademarks in paid search, or use any deceptive practice to obtain sign-ups.

10. Use of our brand

We grant you a limited, non-exclusive, revocable licence to use the Turbovine name, logo, and approved promotional materials solely to promote the service in line with this Agreement. All goodwill from that use belongs to Turbovine. You may not modify our brand assets, use them in a way that is disparaging or misleading, or present yourself as speaking for Turbovine. This licence ends when your participation ends.

11. Fraud and abuse

You may not create fake or fraudulent sign-ups, subscribe through your own link to earn commission on yourself, artificially inflate your attributed reach, or otherwise manipulate the Programme. We may withhold or reverse commission, and end your participation, where we reasonably believe fraud, abuse, or a breach of this Agreement has occurred.

12. Independent relationship and taxes

You participate as an independent party. Nothing in this Agreement creates an employment, partnership, joint-venture, or agency relationship. You have no authority to make any representation, warranty, or commitment on our behalf.

You are responsible for your own taxes on anything you earn under this Agreement, and for any registration or reporting your own country requires. Amounts we pay you are gross. Where the law requires us to withhold tax or to report what we have paid you, we will do so, and you agree to give us any information reasonably needed for that.

13. Confidentiality

Your dashboard shows non-public information, including sign-ups attributed to you. You agree to keep non-public information you learn through the Programme confidential and to use it only for your participation. Unreleased episodes and material are confidential until they are published.

14. Term and ending this Agreement

This Agreement begins when you activate your coach account and continues until it ends. Either of us may end your participation at any time, for any reason, by notice to the other. We may suspend or end it immediately if you breach this Agreement or act in a way that may harm us or our users.

Commission already earned survives. If your participation ends for any reason other than fraud or abuse, commission already earned is still paid to you on the normal schedule once it is confirmed. Sales made after your participation ends do not earn commission.

On termination, your licences to use our brand, our material, and the series end. Sections intended to survive — including those on confidentiality, taxes, disclaimers, limitation of liability, and governing law — continue to apply. The licence you granted us in Section 3 for Coach Explanations you approved and have not withdrawn survives termination. We will make no new Coach Explanations of you after your participation ends, and we will delete your Source Material and any AI model of your voice or likeness within 90 days, except copies we must keep by law.

15. Disclaimer and limitation of liability

The Programme is provided “as is” and “as available” without warranty of any kind. We do not guarantee any level of traffic, sign-ups, or earnings. To the fullest extent permitted by law, Turbovine Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from your participation. To the extent liability cannot be excluded, our total liability arising out of or relating to the Programme shall not exceed the greater of CAD $100 or the total commission paid to you in the twelve months before the claim arose.

16. Governing law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada, except where applicable law gives you the right to bring proceedings in your place of residence.

17. Changes to this Agreement

We may update this Agreement from time to time. We will post the revised version on this page with a new date and, for significant changes, take reasonable steps to notify active coaches. Your continued participation after changes are posted constitutes acceptance of the revised Agreement. A change to the commission rate applies only to subscriptions paid after the change.
